EMSA
TIER III SOCCER CLUB
CONSTITUTION
Article 1 - Interpretation
a) The name of the Club shall be the “Elgin Middlesex
Soccer Association Tier III Club” hereinafter referred to as “EMSA Tier III”,
“League” or “Club”.
b) Wherever the abbreviation EMSA is used, it shall mean
the Elgin Middlesex Soccer Association.
c) The governing
organization shall be EMSA.
d) A member
shall be a registered entity competing in the Tier III League.
e) No individual acting under the jurisdiction of EMSA
Tier III shall deny membership to, or expel; any party without just cause or
determined by EMSA Tier III to be arbitrary.
f) The governing body may publish rules and regulations,
policies, and by-laws that are adopted by the governing organization shall not
violate an individual’s rights or freedom except as may be required to protect
the rights and freedom of any other individual and to ensure stability of the
basic structure of the game.
g) The rules and regulations, policies and by-laws shall
NOT be modified without the advice of the governing association and/or
consulting the membership.
Article 2 - Objectives
a) The objective of EMSA Tier III shall be to organize
local level competition for entities entered into the league in accordance with
EMSA policies and procedures.
Article 3 - Organization
a) EMSA Tier III is organized and operated by the EMSA
District Association
Article 4- Membership
a) Any soccer entity within the District Boundaries of the
Elgin Middlesex Soccer Association shall be eligible for membership.
b) Applications for membership must be in the hands of the
League Administrator on or before the date fixed annually for final entries.
The EMSA board may consider late entries.
c) A member remains in good standing providing: 1) No
monies are outstanding for a period longer than thirty days (30) and 2) The
member fulfills its obligation to the league.
Article 5 - Meetings
a) Meetings shall be conducted in accordance with Robert’s
Rules of Order as they apply.
b) Annual General
Meeting (AGM) shall be held in conjunction with the EMSA AGM.
c) Each member shall be given written notice thirty days
(30) in advance stating the date, time and location of the Annual General
Meeting (AGM).
d) A yearly financial account will be included in the EMSA
Audited Financial Statement as provided at the EMSA AGM.
Article 6- Administrator
a) The business of EMSA Tier III shall be
conducted by an Administrator assigned by the EMSA Board.
Article 7 - Finances
a) The accounts of the league shall be reviewed annually
following the end of the League’s fiscal
year.
b) A yearly financial account will be included in the EMSA
Audited Financial Statement as provided at the EMSA AGM.
c) The fiscal year shall be the one-year period ending May
31.
Article 8 – Indemnity
a) Members of the Board of Directors or other servants to
the League, their heirs, executors, administrators and estate and effects
respectively shall be indemnified and saved harmless at all times by the Club/League
against all costs, losses and expenses incurred by them respectively in or about the discharge of their respective duties, except such as happens from
their own respective willful neglect or default.
Article 9 –
Harassment
a) The League shall adhere to the Harassment Policy as published
and approved by OS from time to time.
b) The Harassment Policy shall apply to all
employees, directors, officers, volunteers, coaches, game officials,
administrators, players, members and registrants of the Club/League.
c) Harassment is defined as any comment, conduct, or gesture
directed toward an individual or group of individuals which is insulting,
intimidating, humiliating, malicious, degrading or offensive. It includes, but is not limited to, sexual
harassment.
d) The League shall make available to any member the
Harassment Policy when requested.
Article 10 – Appeals
a) Any
registrant of the Club/League directly affected by a decision of the League may appeal such decision.
b) A decision of the League may be appealed to EMSA.
The appeal shall be conducted in accordance
with EMSA published policies.
Article 11 – Dissolution
a) In the event of dissolution of
the Club/League, and after payment of all debts and liabilities, its remaining
property shall be distributed equally to the EMSA District Player and Match Official Accounts.
Article 12 - Amendments to the Constitution
a) All proposed amendments to the constitution shall be
submitted in writing to the administrator
at least thirty (30) days prior to the Annual General Meeting.
b) Copies of the amendments shall be sent to all members
at least fourteen (14) days in advance to the meeting at which they will be
considered.
c) Amendments shall become effective upon attaining a simple
majority of the votes cast by the members present at the meeting.
